These Terms of Service ("Terms") govern your access to and use of the website located at www.oraitorapp.com (the "Site") and the ORAITOR mobile application (the "App"), collectively referred to as the "Service," provided by TTN Consulting Labs Private Limited, a company incorporated under the Companies Act, 2013, with its registered office in India ("ORAITOR", "we", "us", or "our").

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use the Service.

1. Agreement to Terms

By accessing the Site or App, you agree to be bound by these Terms and our Privacy Policy, available at https://www.oraitorapp.com/privacy. We may modify these Terms at any time by posting the revised version on the Site or App. Your continued use of the Service constitutes acceptance of such changes.

2. Eligibility & Capacity to Contract

The Service is intended for users who are 18 years of age or older and competent to enter into a binding contract under the Indian Contract Act, 1872.

  • Minors: If you are under 18, you may use the Service only with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms.
  • Representation: By using the Service, you represent and warrant that you meet these eligibility requirements.

3. Account Registration & Security

3.1 Registration

To access certain features, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Security

You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or use. ORAITOR is not liable for any loss or damage arising from your failure to protect your account credentials.

4. Permitted Use & Restrictions

4.1 License

Subject to these Terms, ORAITOR grants you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal, non-commercial purposes.

4.2 Prohibited Activities

You agree not to:

  • Use the Service for any illegal purpose or in violation of any local, state, national, or international law (including the Information Technology Act, 2000).
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App.
  • Use any automated means (data mining, robots, scraping) to access the Service.
  • Interfere with or disrupt the security, integrity, or performance of the Service.
  • Impersonate any person or entity or misrepresent your affiliation with a person or entity.

5. Intellectual Property Rights

5.1 Ownership

The Service, including its "look and feel" (e.g., text, graphics, images, logos), proprietary content, information and other materials, are protected under Indian copyright, trademark, and other intellectual property laws. You acknowledge and agree that ORAITOR and/or its licensors own all right, title, and interest in and to the Service (including all intellectual property rights therein) and you agree not to take any action(s) inconsistent with such ownership interests.

5.2 User Content

You retain ownership of any content you upload, such as audio recordings or text ("User Content"). By submitting User Content, you grant ORAITOR a worldwide, royalty-free license to use, store, and process your content solely for the purpose of providing and improving the Service, consistent with our Privacy Policy.

6. Payment & Subscriptions

If you purchase a subscription to the Service ("Subscription"), you agree to the pricing and payment terms as presented at the time of purchase.

  • Taxes: Prices displayed on the App Store are exclusive of applicable taxes. Any applicable taxes (e.g., GST in India) will be added at checkout by Apple and shown before you confirm your purchase.
  • Refunds: All sales are final and non-refundable, except as required by applicable law or as specifically stated in our refund policy.

7. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW (INCLUDING THE CONSUMER PROTECTION ACT, 2019), ORAITOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

IN NO EVENT SHALL ORAITOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

ORAITOR'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF ₹5,000 (INDIAN RUPEES FIVE THOUSAND) OR THE AMOUNT PAID BY YOU TO ORAITOR IN THE LAST TWELVE MONTHS.

9. Indemnification

You agree to defend, indemnify, and hold harmless ORAITOR and its officers, directors, employees, and agents from and against any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your violation of these Terms; or (c) your violation of any third-party right, including without limitation any intellectual property right, publicity, confidentiality, property, or privacy right.

10. Governing Law & Dispute Resolution

10.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

10.2 Jurisdiction

Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Mumbai, Maharashtra, India (or the city where the company is registered).

10.3 Dispute Resolution

In the event of any dispute, the parties shall first attempt to resolve it amicably. If unresolved after 30 days, the dispute may be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Mumbai, India, and the language shall be English.

In accordance with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, the name and contact details of the Grievance Officer are provided below:

If you have any complaints or concerns regarding your use of the App or inappropriate content, please contact the Grievance Officer.

12. General Provisions

  • Severability: If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.
  • Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign or transfer these Terms without restriction.
  • Force Majeure: We shall not be liable for any failure to perform our obligations hereunder where such failure results from any cause beyond our reasonable control (e.g., acts of God, internet failures, government orders).
